Terms and Conditions of Sale

1. Basis of Contract

These Terms govern all contracts between the Company and the Customer. No variation shall be binding unless signed by a Director of the Company. Placing an order constitutes acceptance of these Terms.

2. Credit & Payment

Payment terms are strictly 30 days from invoice date unless otherwise agreed in writing. Time for payment is of the essence. The Company may charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. The Company reserves the right to withdraw credit facilities at any time without notice. All sums outstanding shall become immediately due if the Customer breaches these Terms.

3. Suspension & Termination

The Company may suspend deliveries where any invoice is overdue. The Company may terminate the Contract immediately if the Customer becomes insolvent, enters administration, liquidation, or ceases trading.

4. Retention of Title

Title to Goods shall not pass until full payment of all sums owed by the Customer has been received. Until title passes, the Customer shall store Goods separately, insure them, and clearly identify them as Company property. The Company may enter premises to recover Goods where payment is overdue.

5. Limitation of Liability

Nothing excludes liability for death or personal injury caused by negligence. Subject to this, the Company’s total liability shall not exceed the price paid for the Goods. The Company shall not be liable for loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss.

6. Indemnity

The Customer shall indemnify the Company against all claims, losses, costs or liabilities arising from misuse, improper storage, or regulatory non-compliance relating to the Goods.

7. Returns Policy

Returns require prior written authorisation. Custom-made, special order, hazardous or regulated Goods are strictly non-returnable. A restocking fee may apply.

8. Regulatory Compliance

The Customer is responsible for ensuring compliance with all applicable UK laws, MHRA regulations, and professional standards. The Company shall not be liable for regulatory breaches caused by Customer misuse.

9. Force Majeure

The Company shall not be liable for delay or failure caused by circumstances beyond reasonable control including supplier disruption, transport failure, industrial action, government restriction or force majeure events.

10. Governing Law

These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
